Terms of Service (RingNav / Mid Media Group LLC)

1. Acceptance of Terms

By accessing ringnav.com (the “Site”) or engaging Mid Media Group LLC, d/b/a RingNav (“RingNav,” “we,” “us,” “our”), you (“Client,” “you”) agree to these Terms of Service and all applicable laws. If you disagree, do not use the Site or Services.

2. Services

RingNav provides call-tracking consulting, implementation, and support for platforms such as Ringba® and Retreaver® (the “Services”). The scope, fees, and timeline are defined in a separate statement of work (“SOW”). If any term here conflicts with an SOW, the SOW controls.

3. Independent Status & Trademarks

RingNav is independent of Ringba, Retreaver, and their respective owners. Ringba® and Retreaver® are registered trademarks of those owners and are referenced here for identification only.

4. Client Responsibilities

You agree to (i) supply timely access to required accounts and data, (ii) confirm that data shared is lawful, and (iii) comply with all laws (TCPA, FTC, privacy, etc.).

5. Payment & Refunds

Unless the SOW states otherwise, invoices are Net 15. Late payments incur 1.5 % interest per month (or the maximum rate allowed by law). Fees are non-refundable once Services are delivered.

6. Intellectual Property

Custom workflows, scripts, or documents created by RingNav remain RingNav’s property until fully paid. Upon full payment, you receive a non-exclusive, royalty-free license for internal use.

7. Confidentiality

Both parties must protect the other’s confidential information and use it only to perform or receive the Services. This obligation survives termination.

8. Disclaimers

The Site and Services are provided “as is.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee revenue or performance outcomes.

9. Limitation of Liability

RingNav’s total liability is capped at the fees you paid in the three (3) months preceding a claim. We are not liable for indirect, incidental, consequential, or punitive damages.

10. Indemnification

You will defend, indemnify, and hold RingNav harmless from claims arising from your misuse of the Site, violation of these Terms, or infringement of any third-party rights.

11. Termination

Either party may terminate the engagement with ten (10) days’ written notice. Sections 6–10 survive termination.

12. Governing Law & Venue

These Terms are governed by the laws of the State of New Hampshire. Exclusive jurisdiction lies with the state or federal courts located in New Hampshire.

13. Changes

We may update these Terms at any time by posting a revised version on the Site. Continued use after such changes constitutes acceptance.
